Corporate & Regulatory

Incorporations, licences, registrations and regulatory compliance — handled with the documentation discipline that keeps a business legally sound and operationally uninterrupted.

Overview

Regulatory obligations are not paperwork. They are the conditions on which a business is allowed to operate.

A company that is well run commercially can still be held back by an expired licence, an unfiled return, a missed registration or an unprotected brand. These are not legal technicalities — they are operational risks with real financial consequences.

Our Corporate & Regulatory practice covers the full lifecycle: forming the entity, obtaining the licences it needs, protecting its intellectual property, keeping its compliances current, and supporting it when a regulatory or litigation issue arises.

What We Cover

Eight regulatory workstreams, one documentation-led approach.

01 · Incorporations & Registrations

The right entity structure, registered correctly the first time.

Incorporation is where many compliance problems begin — an inappropriate entity type, an incorrectly drafted object clause, an address or directorship detail that later needs correction. Getting the structure and documentation right at the outset avoids expensive rectification later.

We support incorporation and registration across entity types, along with the post-incorporation registrations that a new business typically needs — PAN, TAN, GST, bank account documentation and the initial statutory records.

  • Private limited company, LLP, OPC and partnership registration
  • Name approval, MOA/AOA drafting and filing support
  • Post-incorporation registrations — PAN, TAN, GST, bank documentation
  • Statutory registers and initial board documentation
  • Advisory on entity structure before formation

02 · Labour Law Certificate

Labour registrations and certificates, obtained and kept current.

Employers carry a set of labour law obligations that vary with headcount, industry and state. These include registrations and certificates under applicable labour legislation, along with periodic returns and record-keeping.

We assist with obtaining the applicable labour law registrations and certificates, maintaining the required registers and records, and coordinating periodic filings — so that an inspection does not become an unexpected event.

  • Registration under applicable labour legislation
  • Maintenance of statutory registers and employee records
  • Periodic returns and filing coordination
  • Advisory on applicability based on headcount and industry
  • Support during labour authority inspections

03 · PASARA Licence

Licensing for private security agencies, handled end to end.

Private security agencies are regulated under the Private Security Agencies (Regulation) Act, 2005 and the rules framed under it. Operating without a valid licence — or with lapsed or incomplete documentation — exposes the agency to penalties and closure.

We assist with the licence application process, the supporting documentation, and the ongoing compliance requirements that apply once the licence has been granted.

  • Application preparation and documentation for PASARA licence
  • Coordination with the controlling authority
  • Support for renewals and amendments
  • Advisory on training and record-keeping requirements
  • Ongoing compliance support post-licensing

04 · DRUG Licence

Drug licences for manufacturing, distribution and sale — correctly applied for.

Businesses dealing in pharmaceuticals, medicines or allied products require licensing under the Drugs and Cosmetics Act and Rules. The applicable form and conditions depend on whether the activity is manufacture, distribution, wholesale or retail.

We assist with the application, the premises and personnel documentation, and the renewal and amendment requirements that follow — so that the licence remains valid throughout the business's operations.

  • Application support for applicable drug licence categories
  • Premises, equipment and personnel documentation
  • Coordination with the licensing authority
  • Renewals, amendments and additional product permissions
  • Record-keeping and returns advisory

05 · RWA Registration

Resident welfare associations, registered and compliant.

A resident welfare association needs a formal legal identity to open bank accounts, collect maintenance, enter contracts and represent residents before authorities. Registration — typically under the applicable Societies Registration Act — provides that identity.

We assist with the registration process, the constitutional documents, and the recurring compliance that an association must maintain once it is registered.

  • Drafting of memorandum, rules and regulations
  • Registration filing and follow-up
  • Guidance on PAN, bank account and statutory records
  • Advisory on annual filings and governance requirements
  • Support for amendments to the registered constitution

06 · Trademark & Intellectual Property Services

Protecting the name and identity the business has built.

A brand is often among a business's most valuable assets — and among the least protected. Trademark registration establishes exclusive rights, supports enforcement against infringement, and strengthens the position in licensing and investment discussions.

We support trademark search, filing and prosecution, along with related intellectual property advisory, and coordinate with counsel where contentious matters arise.

  • Trademark availability search and class advisory
  • Filing of trademark applications and prosecution support
  • Response to examination reports and objections
  • Renewals, assignments and recordals
  • Advisory on brand protection and infringement response

07 · Startup Compliances

The compliance calendar a growing startup cannot afford to ignore.

Startups tend to be strong on product and weak on compliance. The obligations, however, begin from incorporation and accumulate quickly — statutory filings, board and general meeting requirements, tax returns, GST, payroll and sectoral registrations.

We support early-stage businesses in putting a compliance calendar in place, meeting the recurring obligations, and accessing the startup-specific recognition and benefits that are available.

  • Compliance calendar tailored to the entity and sector
  • ROC filings, board and general meeting documentation
  • Startup India / DPIIT recognition support where eligible
  • Coordination with tax and GST compliance workstreams
  • Advisory on investor-related documentation requirements

08 · Other Regulatory Compliance & Litigation Support

When a notice arrives, the response needs to be documented and timely.

Beyond the standard registrations, businesses face sectoral requirements, show-cause notices, demand notices and appellate proceedings. The quality of the response — and the record behind it — often determines the outcome as much as the underlying position does.

We assist with regulatory compliance across sectors and provide documentation and representation support in litigation and appellate matters, coordinating with legal counsel where court proceedings are involved.

  • Advisory on sector-specific regulatory requirements
  • Response to notices and show-cause communications
  • Documentation and evidence compilation for proceedings
  • Representation support before regulatory authorities
  • Coordination with legal counsel on court matters
