Startup & Business Formation
From choosing the right structure to closing the first funding round — formation, structuring and early-stage advisory for businesses that are still deciding what they will become.
Overview
The structure chosen at the start shapes everything that follows.
A company, an LLP, a society or a producer organisation each carry different consequences — for liability, for taxation, for the ability to raise capital, and for the compliance burden that follows. Choosing the wrong one is expensive to undo.
Our formation practice supports founders, promoters and institutions through entity selection, incorporation, early-stage compliance and the advisory conversations that precede a funding round — with an eye on what the business will need to look like two or three years from now, not only today.
What We Cover
Seven formation and early-stage workstreams.
Select a service to see scope, deliverable and how it applies to your business.
01 · Company Incorporation
A private limited company, incorporated correctly and ready to raise capital.
The private limited company remains the default structure for businesses that intend to bring in outside investors. It offers limited liability, a clear shareholding framework and a structure that investors and lenders are familiar with.
We handle the incorporation end to end — name approval, drafting of the memorandum and articles, filing with the Registrar of Companies, and the post-incorporation registrations and statutory records that a newly formed company needs.
- Entity structure advisory before incorporation
- Name reservation and MOA/AOA drafting
- SPICe+ filing and coordination with the ROC
- PAN, TAN, GST and bank account documentation
- Share subscription, statutory registers and first board minutes
02 · Limited Liability Partnership (LLP) Formation
Partnership flexibility, with the protection of limited liability.
An LLP combines the operational flexibility of a partnership with the limited liability of a company. It is often the right structure for professional practices, family businesses and service firms that do not intend to raise equity from outside investors.
We handle LLP incorporation, the drafting of the LLP agreement, and the post-formation registrations and records — with attention to the capital contribution and profit-sharing clauses that partners most often need to revisit later.
- Name reservation and FiLLiP filing
- Drafting of the LLP agreement — capital, profit sharing, admission and exit
- PAN, TAN and bank account documentation
- Designated partner and compliance obligations
- Advisory on LLP vs. company for the intended business
03 · Not-for-Profit Organisation (NPO) Formation
A not-for-profit structure that reflects the organisation's actual purpose.
Not-for-profit organisations can be constituted as a trust, a society or a Section 8 company. Each carries different governance requirements, different registration processes and different implications for donations, grants and tax exemptions.
We advise on the appropriate structure, prepare the constitutional documents, support the registration, and assist with the ongoing compliance and documentation that funders and authorities expect.
- Advisory on trust, society or Section 8 company structure
- Drafting of trust deed, memorandum and rules
- Registration and incorporation filing support
- Guidance on 12A / 80G and related registrations
- Annual filing and governance documentation
04 · Farmer Producer Organisation (FPO) Formation
Collective structures for farmers, formed with the scheme requirements in view.
A Farmer Producer Organisation allows small producers to aggregate, negotiate and access markets and institutional support collectively. FPOs are typically formed as a producer company, a cooperative society or a registered society — and the choice affects eligibility for government schemes and support.
We support the formation process, the membership and governance documentation, and the financial reporting framework that an FPO must maintain to remain eligible for ongoing support.
- Advisory on producer company, cooperative or society structure
- Formation documentation and registration filing
- Membership, share and governance records
- Advisory on scheme eligibility and documentation requirements
- Financial reporting and compliance support post-formation
05 · P2P Business Models
Platform and peer-to-peer models, structured with the regulatory questions answered.
Peer-to-peer and platform-based business models bring their own structural questions: how the entity is formed, how participants are contracted, how payments flow, and which sectoral or regulatory requirements apply to the platform itself.
We work with promoters to document the operating model, identify the registrations and agreements the platform requires, and put in place the financial reporting framework that the model demands.
Note: the precise scope for each engagement is agreed after understanding the specific model, since "P2P" can refer to several distinct structures.
- Entity structuring for platform-based business models
- Participant and merchant agreement documentation support
- Payment flow and reconciliation framework
- Identification of applicable registrations and sectoral requirements
- Financial reporting and revenue recognition advisory
06 · Funding Advisory
Financial information that stands up in an investor conversation.
A funding conversation moves quickly, and the questions asked are financial: historical performance, unit economics, projected cash flows and the assumptions behind them. Weak or inconsistent numbers stall a round more often than a weak idea does.
We support promoters in preparing the financial information that investors and lenders expect — historical statements, projections, valuation inputs and the documentation that goes with them.
- Preparation and review of historical financial information
- Financial projections and assumption documentation
- Valuation inputs and share pricing support
- Information memoranda — financial sections
- Coordination with legal counsel on investment documentation
07 · Startup Mentorship
Financial and compliance guidance for founders building their first company.
First-time founders are usually strong on their product and new to the financial and compliance side of running a company. That gap is manageable if addressed early, and costly if left until a filing deadline or an investor's due diligence.
Our mentorship support is practical rather than theoretical — working with the founding team on financial hygiene, records, compliance calendars and the reporting habits that make later fundraising and audits significantly easier.
- Setting up basic financial record-keeping and controls
- Compliance calendar and filing discipline for early-stage companies
- Guidance on bookkeeping, invoicing and expense documentation
- Preparation for investor and lender due diligence
- Periodic review conversations with the founding team
